Terms of Service

These Terms of Service ("Terms") govern your access to and use of Maria (the "Service"), operated by Ausem Capital LLC ("Company," "we," "us"). By creating an account or otherwise using the Service, you agree to these Terms. If you're using the Service on behalf of a business, you're agreeing on that business's behalf and confirming you have authority to do so.

1. What Maria does

Maria is a matching tool for commercial finance professionals. Brokers describe a deal (in plain language via chat, or via a structured form) and Maria compares it against a list of lenders to surface which ones the deal may fit, ranked and with stated reasons. Separately, lenders may submit their own underwriting criteria for review and, once approved, inclusion in the shared lender list that brokers search against.

Maria's output is informational, not a guarantee. Match results reflect the criteria on file at the time of the search and do not constitute a commitment from any lender to fund any deal, nor a guarantee that a lender's stated criteria are current, complete, or accurate. Brokers are responsible for independently verifying a lender's criteria and terms before submitting a real deal.

2. Accounts

You must provide accurate information when creating an account and keep your login credentials secure. You're responsible for activity that occurs under your account and for the actions of anyone you invite into your organization. Organization admins are responsible for managing their team's membership and roles.

3. Subscriptions and billing

Paid plans (for both broker and lender accounts) are billed on a recurring basis through our payment processor, Stripe, until canceled. By subscribing, you authorize us to charge your payment method on file for the applicable recurring fee and any one-time fees described at the time of purchase. Fees are generally non-refundable except where required by law or where we state otherwise at the time of sale. You may cancel a subscription at any time through the billing portal; cancellation takes effect at the end of the then-current billing period, and access tied to that subscription may be restricted starting at that point.

Brokers may also use Maria on a free plan, which is limited in how many searches it allows each month and in how much of a result set it reveals. We may change what the free plan includes; we will not reduce what a paid plan includes during a period you have already paid for.

Where a brokerage signs up through a referral partner's code, the introductory discount applies for the stated number of billing periods and the standard price applies thereafter. Discounts are not retroactive and do not stack.

4. Lender marketplace

Lenders submitting listings represent that the underwriting criteria and contact information they provide are accurate and that they have the right to offer the described financing products. We review submissions before they go live and may reject or remove a listing at our discretion, including for inaccurate, misleading, or non-compliant content. Approval of a listing is not an endorsement of the lender by Maria or Ausem Capital.

5. Contact-sharing feature

By selecting a lender on a set of match results and submitting a deal to them, a broker consents to their own contact information being shared with that lender, as described in our Privacy Policy. Running a search shares nothing; only submitting does, and only with the lenders selected for that submission. Brokers who do not wish to share contact information may decline to submit. Lenders who receive a broker's contact information agree to use it solely for legitimate follow-up related to the matched deal, and not to sell, rent, or otherwise misuse it.

Reciprocally, a lender maintaining an active paid listing consents to having their submissions contact details displayed to brokers in match results. Those details are withdrawn from broker view if the listing lapses. Brokers agree to use lender contact details solely to submit and discuss deals, and not to sell, rent, redistribute, or compile them.

5a. Merchant information

Deals submitted through Maria concern a third party — the merchant — who is not a user of the Service. Maria holds only the business name and the financing criteria for a deal, and does not collect the business owner's name, phone number, or email address; brokers and lenders exchange those between themselves. You agree not to enter a merchant's personal contact details into free-text fields in an attempt to store them here, and to use whatever you learn through a deal only for arranging that financing — not to market unrelated products, and not to sell, rent, or pass it to anyone outside that deal.

5b. Deal stages and funding figures

Lenders record a deal's stage and, where it funds, the amount, factor rate, term and the broker's commission points. Brokers see what the lender recorded on their own deals. These are the lender's own records, entered by them: Maria does not verify them, is not a party to the funding, and does not calculate, hold, or pay any commission between a broker and a lender. Figures shown in Maria are a convenience, not a statement of account.

6. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable regulation;
• Submit false, misleading, or fraudulent deal or lender-listing information;
• Attempt to scrape, reverse-engineer, or extract the underlying lender list in bulk outside normal use of the Service;
• Interfere with or disrupt the Service's infrastructure or security;
• Use contact information obtained through the Service for unsolicited marketing outside the scope described in Section 5.

6a. Referral partners

Referral partners are approved by us individually; applying does not create a partnership, and a code is issued only on approval. Commission accrues on the subscription revenue of brokerages who sign up through that code, at the stated rate, for as long as they remain subscribed, and is calculated on the standard price rather than on any discounted amount paid. Commission is not earned on a partner's own account, and we may withhold or reverse it for sign-ups we determine to be self-referred, fraudulent, or refunded. We may end the programme or change its rate on notice; accrued commission already earned is unaffected.

6b. Material you upload

If you upload a logo or give us a website to take one from, you confirm you have the right to use that image and you permit us to store it and display it in the Service — including, for a lender, on the public lender list. We remove it when you ask us to or when your listing ends.

7. Intellectual property

The Service, including its software, design, and branding, is owned by Ausem Capital and protected by intellectual property law. You retain ownership of the deal and business information you submit; you grant us a license to use it solely to operate and improve the Service for you.

8. Disclaimers and limitation of liability

The Service is provided "as is" and "as available," without warranties of any kind, express or implied. We do not warrant that match results are error-free or that any lender listed will approve or fund any particular deal. To the fullest extent permitted by law, Ausem Capital will not be liable for any indirect, incidental, or consequential damages arising from your use of the Service, including any funding decision made in reliance on match results.

9. Termination

We may suspend or terminate your access to the Service if you violate these Terms. You may stop using the Service and cancel your subscription at any time as described in Section 3.

10. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we'll update the "Last updated" date above and, where appropriate, notify account holders directly. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

11. Governing law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.
